1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an enterprise entity) and USTECH Innovations LLC ("USTECH", "Company", "we", "us", or "our"), regarding your access to and use of our website, analytical hardware, software applications (including caliX Suite and ProChem), and USTECH Portal services.

By accessing our website or purchasing USTECH solutions, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Intellectual Property & Proprietary Rights

Unless otherwise indicated, the website, source code, chemometrics algorithms, caliX Suite, ProChem Desktop interfaces, hardware optical specifications, trademarks, and documentation are the exclusive proprietary property of USTECH Innovations LLC and are protected by United States and international copyright, patent, and trademark laws.

3. Software Licensing & Usage Restrictions

Grant of License: Subject to payment of applicable commercial subscription fees, USTECH grants commercial clients a non-exclusive, non-transferable, limited license to run USTECH software binaries (caliX, ProChem) solely for authorized industrial analytical operations.

Restrictions: Licensees shall not reverse-engineer, decompile, disassemble, modify, or create derivative works from USTECH hardware firmware or software algorithms without express prior written consent.

4. Analytical Performance & Industrial Calibration Notice

USTECH FT-NIR spectrometers and chemometric models are designed for process control and quality assurance. While our algorithms sweep 95+ modeling pipelines to maximize predictive accuracy, analytical accuracy depends on proper sample handling, reference laboratory wet chemistry validation, and routine instrument maintenance. Customers remain responsible for verifying calibration performance against primary reference methods.

5. Limitation of Liability

To the maximum extent permitted by applicable law, USTECH Innovations LLC and its directors, employees, or agents shall not be liable for any indirect, consequential, incidental, special, or punitive damages (including loss of profit, loss of production revenue, or raw material waste) arising out of or in connection with the use of our products or software.

6. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the federal or state courts located in Wyoming, USA.
